Legal

Terms of service

Draft of 19 October 2026.

These terms are an agreement between [company legal name], a company incorporated in [state], United States (“Praescius”, “we”), and the organisation or person that uses Praescius (“you”). If you accept them for an organisation, you confirm you may bind it.

1. The service

Praescius collects public information about events, turns it into graded findings that a second person approves, matches them to your sites, people and trips, sends instructions you approve to your people, records who is safe, and publishes reports and outlooks. The features in your plan are those described on the pricing page or in your order form. If an order form, master agreement or data processing agreement signed with us says something different, that document takes precedence over these terms.

Pilots, demonstrations and features marked as preview are provided to try Praescius, may change or end, and may not be used as your only means of keeping people safe.

2. Not an emergency service

Praescius does not replace the emergency services or instructions from local authorities. In an emergency, call local emergency services. Messages can be delayed or fail on any network. Praescius is not a national alert system and does not issue official warnings.

3. Intelligence and its limits

4. Accounts and security

Each console user has their own account and two-step verification. Keep sign-in details private and tell us at once at security@praescius.si if you suspect misuse. You are responsible for what is done under your organisation's accounts and for the roles and permissions your administrators give.

5. Your responsibilities

6. Responsible use

Praescius is for duty of care, security and resilience. You must not use it to:

We may refuse, suspend or end use that we reasonably believe breaks this section.

7. Your data

You own the records you put into Praescius. We process the personal information in them as your processor under our data processing agreement, which forms part of these terms. When your subscription ends you may export your records for [30] days; we then delete them within [90] days, except the audit record and what the law requires us to keep.

8. Plans, fees and limits

9. Term, suspension and ending

These terms last while you use Praescius. Either side may end a monthly plan at the end of a billing period, and a contracted term as its agreement says. We may suspend access at once to protect people, the service or other customers, and will tell you why and how to restore it. Sections that by their nature should survive ending, such as data, ownership, liability and governing law, do so.

10. Ownership

We own Praescius, its software, methods and the findings and reports our desk produces. While you subscribe you may use them inside your organisation. You own your records and the instructions you write. If you send us suggestions we may use them without obligation.

11. Third-party sources and services

Praescius summarises and links to public sources under their terms and does not republish them in full. Message delivery depends on telecommunications networks and providers such as Twilio, WhatsApp and email services, and payments on Stripe; their availability is outside our control.

12. Warranties

We will provide Praescius with reasonable skill and care and in line with its description. Apart from that, and to the extent the law allows, Praescius is provided “as is”: we do not promise that it will be uninterrupted, error free, or that it will detect every event.

13. Liability

To the extent the law allows, neither side is liable for indirect or consequential loss, or lost profits, and each side's total liability is limited to the fees paid in the [12] months before the claim. These limits do not apply to [fraud, death or personal injury caused by negligence, breach of confidentiality, your payment obligations, or anything else the law does not allow to be limited].

14. Indemnities

[To be drafted by counsel: our indemnity for third-party intellectual property claims; your indemnity for claims arising from data you load without a lawful basis or from use that breaks section 6.]

15. Export controls and sanctions

Praescius is a US company. You must not use or give access to Praescius in breach of US export control or sanctions laws, or those of other countries that apply, including by or for anyone on a restricted list or in a country under comprehensive sanctions. We may screen customers and refuse or end service to comply.

16. Governing law and disputes

These terms are governed by the laws of [state], United States, and disputes go to the courts of [venue], unless your order form chooses another law or forum, or the law of the country where you are a consumer gives you rights that cannot be removed.

17. General

We may change these terms by posting a new version with a new date and, for a material change, telling account holders by email [30] days before it applies. Neither side may transfer these terms without the other's consent, except to a successor of its business. If a part of these terms cannot be enforced, the rest stays in force. Notices to us go to legal@praescius.si.
